With the tax benefits of forming either an S Corp or an LLC, it seems like there are very few reasons not to form a business entity, but a million reasons why you should form one. The minor downfall of paying state fees and filing documents is nothing compared with the advantage of protecting your personal assets, saving taxes, having a separate legal entity, establishing a professional identity, and increasing the ability to raise capital. It would be difficult to justify why someone wouldn't want to form a business entity.
